1. Overview and Agreement
- Definitions. In this “Agreement,” “WIPLON” “WIPL” “we,” “our,” or “us” refers to Webspiders Interweb Private Limited and its subsidiaries. “You” or “Customer” refers to the individual or entity using WIPL’s services (“Services”).
- Acceptance. By purchasing or using our Services, you agree to be bound by this Agreement and all policies referenced herein (e.g., Acceptable Use Policy, Privacy Policy, Refund Policy). If you use the Services on behalf of another party, you represent that you are authorized to bind that party.
- Eligibility. The Services are intended for users aged 18 years or older. You must provide accurate, current and complete information and maintain a valid email address not associated with the domain you register.
- Updates. WIPL may modify this Agreement and will notify you of material changes via email or posting on our website. Continued use of the Services constitutes acceptance of the revised terms.
2. Account Security and Customer Responsibilities
- Account Security. You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account. WIPL is not responsible for unauthorized access resulting from your failure to safeguard credentials.
- Backups. You agree to maintain independent backups of all Customer Content (including websites, databases and email). WIPL does not warrant that it will back up any account or content, and you accept the risk of data loss.
- Compliance with Laws. You must comply with all applicable local, national and international laws when using the Services. You are responsible for ensuring that Customer Content and activities do not infringe third‑party rights or violate laws.
- Account Usage. You may not resell any Service unless you have purchased a reseller plan. Shared hosting accounts may not be used to provide hosting to third parties.
3. Acceptable Use Policy
- Lawful Use. Services may be used only for lawful purposes. You may not use the Services to transmit or store illegal or harmful content, including malware, fraudulent schemes, defamatory materials, controlled substances, unlicensed gambling, or child sexual abuse material.
- Network Abuse. You may not perform or assist in unauthorized access, denial‑of‑service attacks, network scanning, phishing, spamming, or any activity that interferes with our network or the Internet. Running IRC servers, malicious bots, open proxies, BitTorrent clients/trackers, or high‑I/O tasks on VPS/Dedicated servers is prohibited.
- Resource Usage. You must use server resources in an efficient and responsible manner. Excessive CPU, RAM, disk or bandwidth consumption that threatens server stability may result in suspension or termination. WIPL may require you to upgrade to a higher plan or dedicated server if your resource usage exceeds fair usage thresholds.
- Spam and Email Abuse.
- Sending unsolicited bulk or commercial emails is strictly prohibited. You must comply with anti‑spam laws such as the CAN‑SPAM Act and provide an opt‑out mechanism.
- WIPL monitors traffic for signs of spamming and reserves the right to view message content or metadata. Accounts violating this policy may be suspended or terminated.
- Use dedicated email marketing services for high‑volume email campaigns.
- Storage Use. Shared hosting space may be used only for active website files and email. It may not be used as off‑site storage or backup of electronic files, email or FTP hosts.
- Prohibited Scripts and Content. You may not run image‑hosting scripts, file dump or mirror scripts, banner‑ad services, commercial audio streaming beyond limited streams, push‑button mail scripts, anonymous or bulk SMS gateways, backups of other computers or BitTorrent trackers.
4. Service‑Specific Terms
4.1 Shared Hosting
- Resource Limits. Each shared hosting plan has defined limits on CPU cores, RAM, disk space, databases, and inodes. A fair‑usage policy applies to unlimited bandwidth and disk plans; if your usage jeopardizes server stability, WIPL may require you to upgrade or limit your resources.
- Inode/Database Limits. Shared hosting accounts may have inode limits and database limits (e.g., up to 300 databases and 3 GB per database). Cron jobs, FTP accounts and email accounts also have plan‑specific limits.
- Email through Shared Hosting. Shared hosting mail servers are limited to sending a small number of messages per minute and per day to prevent spamming. For higher sending limits, you must purchase a dedicated email service.
- Inbound UDP. Inbound UDP traffic is not supported on shared hosting plans.
4.2 Virtual Private Servers (VPS)
- Root Access. VPS customers have root access to their virtual server. WIPL’s support covers hardware, network infrastructure and OS installation; you are responsible for managing your VPS operating system and applications.
- Resource Allocation. Each VPS plan includes specific amounts of vCPU, RAM, storage and bandwidth. Customers must begin using at least 90 % of assigned IP addresses within 30 days; unused IPs may be reclaimed.
- Prohibited Uses. Running IRC servers, malicious bots, BitTorrent clients/trackers, open proxies or any application that excessively consumes I/O and degrades server performance is prohibited.
- Backups. WIPL does not provide automatic backups for any of it’s services unless subscribed. Customers must maintain their own backups. Optional backup plans may be purchased for an additional fee.
- Fair Usage for Control Panels. VPS plans with cPanel or Plesk may have fair‑usage thresholds. Exceeding the threshold may incur additional fees or restrictions.
4.3 Dedicated Servers
- Exclusive Resources. Dedicated server plans reserve an entire physical server exclusively for your account and include a dedicated IP address.
- Server Management. You are responsible for server management, including OS updates, security patches and application installations. Managed support or fully managed support plans are available for an additional fee.
- Data Restrictions. You may not store unencrypted protected health information (PHI) or other regulated personal data on dedicated servers unless a separate Business Associate Agreement is executed.
- Backups and FTP Backup. Dedicated servers do not include automatic backups. Optional FTP backup can be purchased; such services are subject to bandwidth and disk usage limits.
- IP Addresses. At least 90 % of purchased IP addresses must be used within 30 days, or WIPL may reclaim unused addresses.
4.4 Email Solutions (Business)
- Plan Limits. WIPL’s business email services provide plan‑specific limits. For example, entry‑level plans may include 10 GB storage and allow up to 300 emails/day per mailbox; premium plans may provide 50 GB storage and allow 500 emails/day. Attachment size is limited. Customers exceeding limits must upgrade or reduce usage.
- Prohibited Activities. Sending unsolicited bulk emails, phishing, malware distribution or deceptive content is prohibited. Email services may not be used to store large media files or back up hosting accounts. WIPL monitors email activity and may block, suspend or terminate accounts that violate policies.
- Spam/Virus Protection. WIPL provides spam and virus scanning but does not guarantee 100 % effectiveness; messages may be filtered or lost. WIPL disclaims liability for loss or delay of emails due to filtering.
- Data Retention. Business email services are not intended for archiving; customers must back up their email and accept that WIPL may delete data upon termination.
4.5 Google Workspace
- Third‑Party Service. WIPL resells Google Workspace. By purchasing Google Workspace through WIPL, you agree to Google’s Workspace Terms of Service and Acceptable Use Policy. WIPL does not control Google Workspace features or uptime.
- No Spam. You agree not to use Google Workspace to send spam, distribute viruses or other malicious code. Violations may result in suspension of the offending user or the entire domain.
- No Refunds. Google Workspace subscriptions and other email add‑ons are non‑refundable.
5. Billing, Payment and Refunds
- Fees. Fees are payable in advance for the term selected. All payments are non‑refundable except as expressly stated in this Agreement.
- Auto‑Renewal. Unless you opt out, Services will automatically renew at the end of the term. WIPL will attempt to charge the payment method on file. Failure to remit payment may result in suspension or termination.
- Money‑Back Guarantee. Shared hosting, business email and certain other eligible products include a 30‑day money‑back guarantee. To receive a refund, you must cancel within 30 days of purchase. Refunds do not apply to domain registrations, SSL certificates, dedicated servers, VPS licences, Google Workspace, Titan email storage add‑ons, upgrades or any product designated as non‑refundable.
- Chargebacks and Disputes. Filing a chargeback or payment dispute may result in immediate suspension of Services. To resolve billing issues, contact WIPL’s support before disputing charges.
6. Termination and Suspension
- Customer Termination. You may terminate Services by submitting a cancellation request via your control panel. You remain liable for all fees incurred before termination. Upon termination, you must remove your content from WIPL servers; WIPL will not transfer content to another provider and will delete data not removed prior to termination.
- WIPL Termination. WIPL may suspend or terminate Services for violation of this Agreement, non‑payment or to protect network stability. In cases involving spam, abuse or illegal activities, WIPL may terminate immediately without notice. No refunds will be provided for termination due to your breach.
- Effect of Termination. Upon termination, all rights granted to you under this Agreement cease. You must discontinue use of the Services and relinquish any IP addresses and server names assigned to you.
7. Disclaimers and Limitation of Liability
- Disclaimer of Warranties. Services are provided “as is” and “as available.” WIPL makes no warranties regarding uptime, data integrity, security, or suitability for any purpose. Spam and virus protection is provided on a best‑effort basis and is not guaranteed.
- Limitation of Liability. To the fullest extent permitted by law, WIPL shall not be liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits or data. WIPL’s total liability shall not exceed the amount paid by you to WIPL during the three months preceding the claim.
8. Indemnification
You agree to indemnify and hold harmless WIPL, its affiliates, directors, officers and employees from and against any claims, damages, losses or expenses (including reasonable attorneys’ fees) arising out of your use of the Services, violation of this Agreement or infringement of any intellectual property or other right of any person.
9. Governing Law and Dispute Resolution
- Governing Law. This Agreement is governed by the laws of India without regard to conflict of law principles.
- Arbitration. Any dispute arising from this Agreement shall be resolved by arbitration in Jaipur, Rajasthan, India, under the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English by a single arbitrator jointly appointed by the parties. The arbitrator’s decision shall be final and binding.
- Equitable Relief. Notwithstanding the foregoing, WIPL may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent misuse of its network or infringement of intellectual property rights.
10. Miscellaneous
- Independent Contractors. WIPL and the Customer are independent contractors; this Agreement does not create a partnership, joint venture or agency.
- Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Entire Agreement. This Agreement, together with the policies referenced herein, constitutes the entire agreement between you and WIPL regarding the Services and supersedes all prior agreements.
